Joining a registered company before it trades: the Innovator Founder rule

The Home Office guidance lets you join a business after Companies House registration if it has not started trading. Here is how the added-for-investment test works.

Many founding teams form in stages. One person registers a company, builds a prototype, and then brings in a co-founder from overseas who will apply for the Innovator Founder visa. A common worry is that the existing Companies House registration disqualifies the newcomer from the new-business criteria. The Home Office guidance says it does not, as long as two conditions hold.

This article sets out what the caseworker guidance "Innovator Founder" (version 11.0, 4 August 2026) says about joining a registered business, and how to prepare for the question every caseworker will have in mind: were you added for your role, or for your money?

What the guidance actually permits

The new-business plan requirements in the guidance include being "the sole founder or an instrumental member of the founding team". The guidance then clarifies that joining a business after Companies House registration is permitted if the business had not yet commenced trading.

Two conditions sit inside that permission:

ConditionWhat it means in practice
The business had not yet commenced tradingRegistration alone is not the problem; trading activity is
You were not added mainly to facilitate investmentYour role, not your capital, must explain why you are on the team

The permission is narrow. It does not relax any of the other new-business requirements, and it does not turn an established business into a new one.

The added-for-investment test

The guidance asks the caseworker to be satisfied that the applicant was not added mainly to facilitate investment. It also states plainly that an applicant who is only investing will be refused.

The word "mainly" is important. Bringing money into a business you co-found is not in itself a problem; plenty of founders put their own savings in. The question is whether the investment is the main reason you are there. A hypothetical illustration of the contrast:

  • Hypothetical founder A joins a registered, pre-trading software company as its technical lead, co-wrote the product sections of the business plan, will manage development day to day, and also contributes some personal savings.
  • Hypothetical founder B joins a registered, pre-trading company after an introduction from an agent, contributes a large sum, and has a job title but no clear operational responsibilities or input into the plan.

Founder A's role explains their presence on the team. Founder B's capital does. Founder B is the profile the guidance is aimed at.

The requirements you still have to meet

Joining after registration does not exempt you from anything. Under the new-business criteria you must still show that:

  • you generated the business plan or significantly contributed to it;
  • you will have a day-to-day role in the business;
  • you will attend at least two contact point meetings with your endorsing body;
  • you are the sole founder or an instrumental member of the founding team.

The endorsing body must also be satisfied that the plan is innovative, viable and scalable. And because team members may share a plan but each needs an individual endorsement, you go through the endorsing body's assessment in your own right, not on the back of your co-founder's. See Innovator Founder teams and individual endorsements.

How to evidence a genuine founding role

The guidance does not prescribe a list of documents for this point, so the following are practical suggestions rather than official requirements. The aim is to make your role visible and verifiable before you joined the company register.

  • Plan authorship. Keep drafts, comments and version history showing which sections you wrote or shaped.
  • A defined day-to-day role. Write down what you will be responsible for each week, and make sure it matches what the business plan says.
  • Relevant skills. Show how your experience fits the role, since the innovative, viable and scalable assessment considers whether you have or are developing the skills, knowledge, experience and market awareness to deliver.
  • Founders' agreement. A document setting out roles and responsibilities, not just shareholdings, helps show the team was built around functions.
  • Timeline. Be ready to explain when the company was registered, when you became involved, and confirm that it had not commenced trading.

If your contribution to the business is mostly financial, it is better to recognise that early than to discover it at refusal. See the investor-not-founder refusal risk and solo founder vs founding team.

Points to check before you approach an endorsing body

  1. Confirm the company has not commenced trading.
  2. Confirm that your role, not your investment, is the main reason you are joining.
  3. Make sure your contribution to the plan is real and documented.
  4. Agree a day-to-day role that you will actually perform.
  5. Plan for your own individual endorsement, including at least two contact point meetings.
